PUBLIC OFFER AGREEMENT

for ordering, sale and delivery of goods

This agreement is the Seller's official public offer to conclude a contract of sale for goods presented on www.lorchen.company. The agreement is public: under Article 633 of the Civil Code of Ukraine its terms are the same for all buyers regardless of status (individual, legal entity, individual entrepreneur), without preference for any buyer. By concluding this Agreement the Buyer fully accepts the terms and procedure of ordering, payment, delivery, returns, liability for a bad-faith order and all other terms. The Agreement is concluded when the Buyer clicks "Confirm Order" on the checkout page in the Cart and receives electronic confirmation from the Seller.

1. Definitions

1.1. Public offer ("Offer") — the Seller's public proposal addressed to an undefined circle of persons to conclude a distance contract of sale ("Agreement") on the terms of this Offer.

1.2. Goods or Service — the object of the parties' deal selected by the Buyer on the online store website and placed in the cart, or already purchased from the Seller by distance means.

1.3. Online store — the Seller's website at www.lorchen.company, created to conclude retail and wholesale sale contracts after the Buyer reviews the Seller's description of the Goods via the Internet.

1.4. Buyer — a legally capable individual aged 18 or over who receives information from the Seller and places an order for goods on www.lorchen.company for purposes not related to business activity, or a legal entity or individual entrepreneur.

1.5. Seller — SPD Izmailov O.O. (tax ID 2748909012), acting under the laws of Ukraine, located at 79053, Lviv, Arkasa St., 10/4.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer the Goods into the Buyer's ownership, and the Buyer undertakes to pay for and accept the Goods on the terms of this Agreement.

2.2. The date of conclusion of the offer agreement (acceptance) and of the Buyer's full and unconditional acceptance of its terms is the date the Buyer completes the order form on the website, provided the Buyer receives electronic confirmation from the Seller. If required, at the Buyer's request the Agreement may be executed in writing.

3. Placing an Order

3.1. The Buyer places the order independently through the Cart form.

3.2. The Seller may refuse to hand over the order if the information given by the Buyer is incomplete or raises doubts as to its authenticity.

3.3. When placing an order the Buyer undertakes to provide the following mandatory information:

3.3.1. the Buyer's surname and first name;

3.3.2. the delivery address (if delivered to the Buyer's address);

3.3.3. a contact phone number;

3.3.4. tax ID for a legal entity or individual entrepreneur.

3.4. Name, quantity, SKU and price of the Goods selected by the Buyer are shown in the Buyer's cart on the website.

3.5. If either Party needs additional information, it may request it from the other Party. If the Buyer does not provide the required information, the Seller is not liable for the quality of service when purchasing on www.lorchen.company.

3.6. The Buyer accepts this Offer by entering the relevant data in the registration form on www.lorchen.company or by phone to the store operator at the numbers listed on the site. After an order is placed via the operator, the Buyer's data are entered into the Seller's database.

3.7. The Buyer is responsible for the accuracy of information provided when placing the Order.

3.8. By concluding the Agreement, i.e. accepting this offer by placing an Order, the Buyer confirms that:

a) the Buyer has fully read and agrees to the terms of this offer;

b) the Buyer consents to the collection, processing and transfer of personal data for the entire term of the Agreement and for an unlimited period after it ends. The Buyer also confirms awareness of the rights under the Law of Ukraine "On Personal Data Protection", of the purposes of collection, and that personal data are transferred to the Seller to perform this Agreement, settle accounts and issue invoices, acts and other documents. The Buyer agrees that the Seller may give access to and transfer personal data to third parties without further notice in order to fulfil the order. The Buyer understands the scope of rights as a personal data subject under that Law.

4. Price and Delivery of the Goods

4.1. Prices of Goods and services are set by the Seller and shown on www.lorchen.company. All prices are in the national currency — hryvnia — excluding VAT (the Seller is not a VAT payer).

4.2. The Seller may change prices of Goods and services unilaterally depending on market conditions. The price of a unit already paid in full by the Buyer may not be changed unilaterally.

4.3. The price shown on the website does not include delivery. The Buyer pays delivery according to the rates of the chosen carrier, directly to that carrier.

4.4. The price on www.lorchen.company does not include delivery to the Buyer's address.

4.5. The Seller may indicate an estimated delivery cost at the Buyer's request when the order is placed on the site or through the operator.

4.6. The Buyer's payment obligation is fulfilled when funds are credited to the Seller's account.

4.7. Settlements are made by the methods stated on the website in the "Payment and Delivery" section.

4.8. Upon receipt the Buyer must, in the presence of the carrier's representative, check that the Goods match the qualitative and quantitative characteristics (name, quantity, completeness, expiry date).

4.9. By signing the sales receipt / order / consignment note the Buyer or representative confirms that there are no claims as to quantity, appearance or completeness.

4.10. Title and the risk of accidental loss or damage pass to the Buyer or representative when the Buyer receives the Goods at the place of delivery (self-pickup from the Seller) or when the Seller hands the Goods to the carrier chosen by the Buyer.

5. Rights and obligations of the Parties

5.1. The Seller shall:

5.1.1. Transfer the Goods to the Buyer in accordance with this Agreement and the Buyer's order.

5.1.2. Not disclose any private information about the Buyer or give third parties access to it, except as required by law and when fulfilling the Order.

5.2. The Seller may:

5.2.1. Change the terms of this Agreement and prices of Goods and services unilaterally by publishing them on www.lorchen.company. Changes take effect upon publication.

5.3. The Buyer undertakes:

5.3.1. Before concluding the Agreement, to read the Agreement, its terms and the prices offered by the Seller on the website.

5.3.2. To provide all data that uniquely identify the Buyer and are sufficient to deliver the ordered Goods.

6. Liability

6.1. The Seller is not liable for damage caused to the Buyer or third parties by improper use or storage of Goods purchased from the Seller.

6.2. The Seller is not liable for improper or untimely performance of Orders if the Buyer provided inaccurate or incorrect information.

6.3. The Seller and the Buyer are liable for their obligations under the laws of Ukraine and this Agreement.

6.4. A Party is released from liability for full or partial non-performance if it results from force majeure (war or hostilities, earthquake, flood, fire and other natural disasters) arising after conclusion of this Agreement independently of the Parties' will. The Party that cannot perform shall notify the other Party immediately.

7. Confidentiality and personal data protection

7.1. By providing personal data on the website at registration or when placing an Order, the Buyer gives the Seller voluntary consent to the processing, use (including transfer) of personal data and other actions under the Law of Ukraine "On Personal Data Protection", without a time limit on such consent.

7.2. The Seller undertakes not to disclose information received from the Buyer. It is not a breach to provide information to contractors and third parties acting under a contract with the Seller, including to perform obligations to the Buyer, or where disclosure is required by Ukrainian law.

7.3. The Buyer is responsible for keeping personal data up to date. The Seller is not liable for poor performance or non-performance caused by outdated or inaccurate Buyer information.

8. Other terms

8.1. This Agreement is concluded in Ukraine and is governed by Ukrainian law.

8.2. Disputes between the Buyer and the Seller are resolved by negotiation. If no settlement is reached, either Party may apply to the courts under Ukrainian law.

8.3. The Seller may amend this Agreement unilaterally as provided in clause 5.2.1. Amendments may also be made by mutual consent as provided by Ukrainian law.
